1. Introduction and Acceptance of Terms

Welcome to Visiono (the "Service"), a cloud-based photo collection platform operated by MAIN INNOVATE LOGISTIC UP d.o.o. ("Company", "we", "us", or "our"), a company registered in Croatia.

These Terms and Conditions ("Terms") apply to the following domains and services operated by us:

By accessing or using any part of the Service, including our Interactive Demo, you ("User", "Tenant", "you", or "your") agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

These Terms constitute a legally binding agreement between you and the Company. Please read them carefully before using our Service.

2. Service Description

Visiono is a Software-as-a-Service (SaaS) platform that enables businesses and professionals to collect photos from their customers through shareable links, without requiring any app installation. The Service includes:

3. Interactive Demo

The Interactive Demo ("Demo") is a free demonstration feature available on our homepage at visiono.io that allows visitors to experience the Visiono photo collection service firsthand, without requiring registration or payment.

Before generating a QR code, users must explicitly accept these Terms and Conditions via a mandatory checkbox confirmation. By checking the acceptance box, you confirm that you have read, understood, and agree to comply with all Demo usage terms, including the prohibition on inappropriate, offensive, or illegal content.

4. Eligibility and Account Registration

5.1 Available Plans

Visiono offers the following subscription plans, available with monthly or annual billing:

5.2 Monthly vs. Annual Billing

Subscriptions are available with two billing options:

5.3 Photo Allowances and Overage

Each plan includes a monthly photo allowance as specified in Section 5.1. If you exceed your monthly photo allowance, you will be charged the applicable overage rate for each additional photo uploaded during that billing month.

Overage charges are calculated and billed monthly, regardless of whether you have a monthly or annual subscription. Overage invoices are issued at the beginning of the following month for any additional photos uploaded in the previous month.

Unused photo allowances do not roll over to subsequent months.

5.4 Data Retention

Photo retention periods vary by plan. The Starter plan includes 30 days retention, while Professional and Enterprise plans offer extended retention. Specific retention periods are detailed on our pricing page. Upon expiration of the retention period, photos may be automatically deleted from our servers.

5.5 Free Trial

We offer a 7-day free trial for new users. To activate the free trial, you must provide valid payment information (credit card) through our payment processor, Stripe. Your card will not be charged during the trial period unless you exceed any applicable trial limitations.

At the end of the trial period, your subscription will automatically convert to a paid subscription unless you cancel before the trial ends. You will be charged the applicable subscription fee for your selected plan.

5.6 Storage Limits and Add-ons

Each subscription plan includes a storage allowance as specified in Section 5.1. Storage usage is calculated based on the total size of photos uploaded and retained in your account.

Grace Period: When you approach your storage limit, we provide a temporary grace period of 10% additional storage. This grace period is intended to give you time to manage your storage or purchase additional capacity. During the grace period, you will receive notifications at 80% and 95% of your storage limit.

Storage Blocking: Once you exceed the grace period (110% of your plan's storage limit), new photo uploads will be blocked until you either delete existing photos, upgrade your plan, or purchase additional storage. Your existing photos will NOT be deleted; only new uploads will be prevented.

Storage Add-ons: You may purchase additional storage capacity through one-time add-on products. Storage add-ons are linked to your active subscription. If your subscription is cancelled or expires, purchased storage add-ons will no longer apply, but will be restored if you reactivate your subscription.

Storage add-on purchases are non-refundable. Upon cancellation or expiration of your subscription, any unused storage add-on capacity is forfeited without refund.

6. Payment Terms

6.1 Payment Processing

All payments are processed securely through Stripe. By providing your payment information, you authorize us to charge your designated payment method for all fees associated with your subscription, including subscription fees and overage charges.

6.2 Billing Schedule

Your billing schedule depends on your subscription type:

All prices are displayed and charged in Euros (EUR). Prices displayed on our website are exclusive of VAT unless otherwise stated. You are responsible for any applicable taxes, including but not limited to VAT, sales tax, or other similar taxes based on your jurisdiction. VAT will be added where required by law.

6.4 Invoices

Invoices for subscription fees and overage charges are issued electronically and made available through your account dashboard and/or sent to your registered email address. You may also download invoices directly from the Stripe customer portal.

6.5 Failed Payments

If a payment fails, we will attempt to process the payment again and notify you to update your payment information. Continued failure to pay may result in:

7. Cancellation and Refund Policy

7.1 Cancellation

You may cancel your subscription at any time through your account dashboard or by contacting our support team. There are no cancellation fees.

Upon cancellation, you will retain access to the Service until the end of your current billing period. After that, your account will be downgraded and your access to paid features will be revoked.

7.2 Refunds for Monthly Subscriptions

For monthly subscriptions, you may request a full refund within fifteen (15) days of your initial subscription or any renewal charge. Refund requests must be submitted by contacting our support team.

7.3 Annual Subscriptions

Annual subscriptions paid in advance are non-refundable. If you have paid for an annual subscription, you will retain access to the Service until the end of your subscription term, but no partial refunds will be issued for early cancellation.

By choosing annual billing, you acknowledge that you have received a 17% discount compared to monthly billing and that this discount is granted in exchange for your commitment to the full subscription term.

We recommend starting with a monthly subscription or using the free trial to evaluate the Service before committing to an annual plan.

7.4 Overage Charges

Overage charges are non-refundable as they represent actual usage of the Service beyond your plan's included allowance. Overage charges will continue to be billed even if you cancel your subscription, for any usage that occurred prior to cancellation.

9. Data Handling, Storage, and Security

9.1 Data Storage and Encryption

All photos uploaded to Visiono are stored on our secure servers in encrypted format. Photos are decrypted only upon request by the authorized Tenant for viewing within the administrative dashboard.

9.2 Data Segregation

Visiono operates as a multi-tenant platform. While data is stored in a shared database infrastructure, all data is logically segregated by tenant identifier (tenant_id). Each Tenant can only access their own data, and we implement strict access controls to prevent unauthorized cross-tenant data access.

9.3 Data Controller and Processor Relationship

For the purposes of data protection laws (including GDPR), you (the Tenant) act as the Data Controller for any personal data collected from your Customers through the Service. We (Visiono / MAIN INNOVATE LOGISTIC UP d.o.o.) act as a Data Processor on your behalf.

As Data Controller, you are responsible for ensuring that you have a valid legal basis for collecting and processing your Customers' photos and any associated personal data.

9.4 Privacy Policy

Our collection and use of personal data is governed by our Privacy Policy. By using the Service, you acknowledge that you have read and understood our Privacy Policy.

10. Bring Your Own Storage (BYOS)

10.1 Overview

Visiono offers a "Bring Your Own Storage" (BYOS) feature allowing Tenants to store photos in their own S3-compatible storage infrastructure instead of Visiono's managed storage. This section defines responsibilities when using this feature.

CUSTOMER ACKNOWLEDGES THAT VISIONO HAS NO CONTROL OVER CUSTOMER-PROVIDED STORAGE AND SHALL NOT BE LIABLE FOR ANY LOSS, DAMAGE, OR SERVICE INTERRUPTION ARISING FROM CUSTOMER'S STORAGE INFRASTRUCTURE, INCLUDING BUT NOT LIMITED TO DATA LOSS, UNAVAILABILITY, CREDENTIAL EXPIRATION, OR THIRD-PARTY PROVIDER ISSUES. ALL COSTS ASSOCIATED WITH CUSTOMER'S STORAGE PROVIDER ARE THE SOLE RESPONSIBILITY OF THE CUSTOMER.

11. API Access and Integration

Visiono provides API access for integration with third-party systems. API access may be subject to specific plan limitations and rate limits as specified in our API documentation.

Webhook functionality is available for Professional and Enterprise plan subscribers. Webhooks allow you to receive real-time HTTP notifications when specific events occur in your Visiono account, such as when a photo request is created, viewed, or submitted.

We do not guarantee webhook delivery in all circumstances. Network issues, endpoint failures, or service interruptions may prevent or delay webhook delivery. You should implement appropriate retry logic and not rely solely on webhooks for critical business processes.

Webhook endpoints must not be located on private or internal networks. For security reasons, we block webhooks to localhost, private IP ranges, and internal hostnames.

12. Intellectual Property Rights

12.1 Our Intellectual Property

The Service, including all software, designs, text, graphics, logos, and other content (excluding User Content), is owned by MAIN INNOVATE LOGISTIC UP d.o.o. or its licensors and is protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

12.2 User Content

You retain all ownership rights to the photos and content you collect through the Service ("User Content"). By using the Service, you grant us a limited license to store, process, and display your User Content solely for the purpose of providing the Service to you.

We do not claim ownership of your User Content and will not use it for any purpose other than providing and improving the Service.

13. Disclaimers and Limitation of Liability

13.1 Service Provided "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

13.2 No Guarantee of Availability

We do not guarantee that the Service will be uninterrupted, error-free, or completely secure. We may perform maintenance or updates that temporarily affect Service availability.

13.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MAIN INNOVATE LOGISTIC UP D.O.O., ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, OR AFFILIATES BE LIABLE FOR:

You may terminate your account at any time by canceling your subscription through your account settings or by contacting our support team.

We may suspend or terminate your access to the Service immediately, without prior notice, if:

Upon termination, your right to use the Service will immediately cease. We may delete your account and all associated data within a reasonable period following termination, in accordance with our data retention policies and applicable law.

Sections that by their nature should survive termination shall survive, including but not limited to: Intellectual Property, Limitation of Liability, Indemnification, and Governing Law.

16. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website and/or sending you an email notification.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service and cancel your subscription.

17. Governing Law and Dispute Resolution

17.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Croatia, without regard to its conflict of law provisions.

17.2 Jurisdiction

Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Pula, Croatia.

17.3 Informal Resolution

Before initiating any formal legal proceedings, you agree to first contact us and attempt to resolve the dispute informally. We will make reasonable efforts to resolve any issues within thirty (30) days.

18. General Provisions

18.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and the Company regarding the Service.

18.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

18.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

18.4 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.

18.5 Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms due to circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, labor disputes, government actions, or internet or telecommunications failures.
